Business Customer License and Terms of Sale

Clear terms for purchasing, licensing and using Lvl Haus business products.

Version LH-CLTS-1.0.0Effective October 15, 2026

These terms govern the business-to-business purchase and use of the Product identified in an applicable Offer Schedule. They are intended only for business and organizational use, not personal, family, or household use. Lvl Haus approved this version for use without external legal review. Nothing in these terms limits a right or remedy that applicable law does not permit Lvl Haus to limit.

1. Definitions

Authorized Users means the Customer's employees and officers whom the Customer permits to use the Product for authorized internal work, together with individual contractors who require access solely to perform authorized internal work for the licensed Customer and permitted professional advisers acting within the limits in Section 5. A contractor's employer, firm, or other organization does not receive a license merely because one of its personnel is an Authorized User.

Completed Work Product means a policy, form, checklist, communication, record, or other work product that the Customer completes or adapts for its own internal operations using the Product. It does not include unmodified or substantially unmodified Source Files or an extracted library of Lvl Haus Materials.

Customer means the single legal organization identified as the purchaser or licensed entity in the applicable Offer Schedule and order.

Customer Content means information and original content supplied or independently created by the Customer and not derived from Lvl Haus Materials.

Lvl Haus Materials means the Product, Source Files, structure, design, text, instructions, methods, selection, arrangement, and other materials owned or licensed by Lvl Haus, including those incorporated into Completed Work Product.

Offer Schedule means the product-specific record incorporated into the transaction that identifies the Product, licensed Customer, version, included files, price, delivery, support, contractual versions, and any product-specific conditions.

Product means the specific Lvl Haus digital product and version identified in the applicable Offer Schedule, including its included Source Files and instructions.

Source Files means the editable or reusable files, templates, trackers, spreadsheets, documents, instructions, and other source materials delivered as part of the Product.

These definitions clarify the commercial model and do not create rights beyond those stated in these terms and the applicable Offer Schedule.

2. Business transaction and licensed Customer

The transaction is business-to-business. One purchase licenses one Customer unless the applicable Offer Schedule expressly identifies additional licensed entities.

The Customer's affiliates, subsidiaries, parent entities, sister companies, portfolio companies, commonly controlled organizations, clients, customers, members, franchisees, and other legal entities are not licensed by implication. They may use the Product only if the applicable Offer Schedule expressly includes them or they obtain a separate license.

The Customer is responsible for ensuring that its Authorized Users comply with the applicable license restrictions.

3. License grant and duration

Subject to payment, these terms, and the applicable Offer Schedule, Lvl Haus grants the Customer a limited, nonexclusive, nontransferable license to download, store, copy, edit, customize, and use the purchased version of the Product for the Customer's authorized internal business purposes.

Unless the license is validly terminated under these terms, the Customer may continue using the purchased version for those authorized internal purposes. A one-time purchase does not include or create a right to future versions, updates, regulatory or legal monitoring, ongoing maintenance, professional review, platform access, subscriptions, notifications, customization, implementation services, or other continuing services unless the Offer Schedule expressly includes them.

External legal review status: This provision has not been reviewed by external counsel.

4. Internal customization and distribution

The Customer may customize the Product and internally distribute Completed Work Product to Authorized Users for the Customer's own operations. Where the Product is intended for customization, the Customer may replace or remove Lvl Haus branding from customer-facing or employee-facing Completed Work Product.

The Customer may not remove applicable copyright, ownership, license, version, provenance, or source notices from the underlying Product or Source Files unless Lvl Haus expressly permits removal. Customer modifications and branding do not transfer ownership of the Lvl Haus Materials incorporated into Completed Work Product.

External legal review status: This provision has not been reviewed by external counsel.

5. Professional adviser access

The Customer may provide access to an attorney, accountant, benefits professional, HR adviser, consultant, or other professional adviser only to the extent reasonably necessary while that adviser is performing services for the licensed Customer. The adviser receives no independent Product license and may not:

  • use the Product for another client;
  • place the Product or Source Files in the adviser's general template, precedent, knowledge, or content library; or
  • retain or reuse Lvl Haus Materials for an independent commercial purpose.

An adviser may retain an archival copy where required by law, regulation, professional obligations, insurance, audit, or legitimate record-retention requirements. Archival retention does not create continuing adaptation, reuse, distribution, library, or other-client rights.

6. Prohibited uses

Except where the applicable Offer Schedule expressly permits it, the Customer and Authorized Users may not:

  • resell, rent, sublicense, or externally distribute the Product, Source Files, or Lvl Haus Materials as a commercial product or service;
  • distribute Source Files outside the Customer and permitted advisers;
  • systematically copy, extract, or reorganize Lvl Haus Materials to create a substitute template, precedent, knowledge, or content library;
  • use Lvl Haus Materials to create substantially equivalent commercial products or services for third parties;
  • circumvent license, account, access, download, usage, or technical restrictions;
  • represent Lvl Haus Materials as independently authored material when that representation would conceal the source or violate an applicable ownership or attribution requirement; or
  • use Lvl Haus Materials for prohibited AI or dataset activities described in Section 7.

These restrictions are not intended to prohibit lawful independent development, ordinary internal learning, or creation of an independently authored work merely because it addresses a similar subject.

External legal review status: This provision has not been reviewed by external counsel.

7. Technology and AI use

The Customer may use software, automation, and AI tools to assist with authorized internal use or customization of the Product. The Customer remains responsible for confidentiality, security, permissions, output review, accuracy, and compliance with the technology provider's terms.

The Customer may use software, automation, and AI tools for authorized internal processing, customization, analysis, and review, including ordinary transient processing, subject to the responsibilities above.

The Customer may not use Lvl Haus Materials for model training, fine-tuning, benchmarking for model development, creation of training datasets, population of substitute commercial content libraries, material improvement of third-party or commercial models, commercial dataset creation, or creation of a substantially equivalent commercial product or service for third-party use. The Customer may not grant a technology or AI provider independent reuse, training, retention, or commercialization rights that are inconsistent with the Customer's Lvl Haus license.

External legal review status: This provision has not been reviewed by external counsel.

8. Customer responsibilities

The Customer is responsible for:

  • determining whether the Product applies to the Customer's organization, locations, workforce, plans, vendors, and circumstances;
  • the completeness and accuracy of facts, instructions, and Customer Content it provides;
  • reviewing and appropriately customizing the Product and Completed Work Product;
  • obtaining internal, legal, professional, regulatory, or other required approvals;
  • implementation, administration, maintenance, and organization-specific decisions; and
  • obtaining qualified professional review where appropriate.

Lvl Haus does not independently verify Customer-provided information unless the Product or Offer Schedule expressly states otherwise.

This allocation of operational responsibility does not create Customer representations or warranties beyond those expressly stated in the applicable Offer Schedule or these terms.

9. Operational and educational purpose

Under the applicable Product transaction, Lvl Haus Products are operational and educational resources. They do not constitute legal, tax, accounting, benefits, payroll, cybersecurity, privacy, or other professional advice, and purchase or use of the Product does not by itself create an attorney-client, fiduciary, adviser, consulting, implementation, or other professional-service relationship. This section does not prevent Lvl Haus from separately entering into a consulting, implementation, professional-service, or other service relationship under a separate approved agreement. The Customer should obtain qualified professional review when its circumstances require it.

10. Product version and continuing services

The purchase includes only the Product version identified in the Offer Schedule. A later change in law, guidance, technology, business practice, or the Customer's circumstances does not by itself make a purchased version defective.

Unless expressly included in the Offer Schedule, Lvl Haus has no obligation to monitor changes in law; continually review the Customer's circumstances; provide organization-specific legal conclusions; notify the Customer of every regulatory development; customize or implement the Product; or provide future versions, monitoring, platform access, professional services, or continuing services.

These terms are intended for standalone downloadable digital Products sold under an applicable Offer Schedule. They do not automatically govern or create rights to an authenticated Lvl Haus platform, SaaS subscription, design-partner arrangement, pilot, regulatory-monitoring service, adviser account, implementation engagement, consulting or professional service, or another offering governed by separate terms.

11. Updates, corrections, supersession, and withdrawal

For these terms:

  • an Update is a later version or improvement and does not by itself imply that the earlier version was defective;
  • a Correction remediates a material issue in a purchased version;
  • a Superseded Product is a version replaced by a later version; and
  • a Withdrawn Product is a version Lvl Haus determines should no longer be distributed or used because of a material issue.

Lvl Haus may correct, update, supersede, or withdraw a Product. When continued use may create material risk, Lvl Haus may notify affected purchasers and instruct them to discontinue use, remove affected Source Files from active use, or follow other product-specific directions. Detailed severity classifications and escalation rules belong in the internal Product Correction, Supersession, and Withdrawal Procedure rather than these customer-facing terms.

Creation or availability of a Correction does not by itself determine the remedy for an affected purchase. The applicable remedy is determined under the Refund and Product Remedy Policy, applicable Offer Schedule, these terms, and applicable law. Lvl Haus does not promise automatic entitlement to every future Update or later Product Version.

Product Withdrawal is a Product lifecycle decision based on a Product issue. It is not, by itself, a Customer breach or License Termination based on Customer conduct.

External legal review status: This provision has not been reviewed by external counsel.

12. Delivery, price, payment, and taxes

The Offer Schedule must identify the exact Product and version, included files and formats, licensed Customer, license type, price, currency, tax treatment as presented at checkout, delivery method, update entitlement, support route, product-specific conditions, and applicable contractual versions.

Delivery occurs when download access is made available using the email address or account identified in the order. The duration of re-download access is stated in the applicable Offer Schedule or another transaction disclosure and must match the actual commerce configuration. Lvl Haus does not promise indefinite hosting unless expressly stated. The Customer is responsible for accurate order, billing, exemption, and location information and for appropriately retaining and safeguarding its purchased files after delivery.

The Customer must pay the price and taxes displayed at checkout. Payment is treated as complete when the commerce system records successful payment and makes the purchased download available; no separate Lvl Haus confirmation event is required unless the Offer Schedule expressly states otherwise.

13. Refunds and product remedies

Digital purchases are ordinarily final once download access is granted. Duplicate purchases, delivery failures, missing or corrupted files, material Product defects, and material description errors are handled under the Refund and Product Remedy Policy version identified at checkout.

Nothing in these terms limits a right or remedy that applicable law does not permit Lvl Haus to limit. The applicable Refund and Product Remedy Policy provides the operational remedy process.

14. Ownership

Lvl Haus and its licensors retain ownership of the Product, Source Files, Lvl Haus Materials, and associated intellectual property. The Customer retains ownership of Customer Content and independently created content.

The Customer's modifications, branding, compilation, or incorporation of Lvl Haus Materials into Completed Work Product do not transfer ownership of the underlying Lvl Haus intellectual property. Subject to Section 17, the Customer may retain and continue using properly created Completed Work Product for its own internal operations.

External legal review status: The boundary between a Source File and Completed Work Product, including treatment of embedded Lvl Haus Materials and post-termination use, has not been reviewed by external counsel.

15. Sensitive information

Unless a Product expressly provides an approved secure function designed for that purpose, the Customer must not send Lvl Haus authentication credentials, passwords, payment-card information, financial-account information, Social Security numbers, government identification numbers, health information, employee or applicant records, benefits elections, or other sensitive, confidential, or regulated personal information in a support request. These examples are not exhaustive. Final terminology and handling must align with the Privacy Policy and approved support procedures.

16. Product support

Product support requests should be sent to hello@lvlhaus.com with the order number, Product name and version, and a non-sensitive description of the issue. Lvl Haus aims to acknowledge support requests within two business days. This is an acknowledgement target, not a guaranteed resolution time.

Ordinary Product support covers delivery, access, missing or corrupted files, suspected Product errors, and basic Product operation. Unless the Offer Schedule expressly provides otherwise, support does not include ongoing legal or regulatory monitoring, organization-specific legal or professional conclusions, continuing review of Customer circumstances, notice of every regulatory development, customization, implementation, future Product versions, platform access, or professional services.

17. Suspension, termination, and retained records

Lvl Haus may suspend access or terminate the license for material breach, unauthorized distribution, nonpayment, or fraudulent conduct or misuse relating to the purchase, payment, license, access, distribution, or use of the Product. Unrelated Customer conduct is not a termination basis under these terms.

Product Withdrawal under Section 11 is not, by itself, License Termination for Customer breach.

After termination, the Customer must stop using Source Files and unused Product copies to create new materials and must delete or disable them except for permitted archival copies. Termination does not ordinarily require destruction of legitimate historical business records or Completed Work Product properly created during a valid license, and it does not prevent archival retention required by legal or regulatory requirements, professional obligations, insurance, audit, or legitimate recordkeeping. Archival copies may not be returned to active Source File use or used to create new materials.

External legal review status: The termination, cure, survival, archival, and post-termination provisions have not been reviewed by external counsel.

18. Contract documents and hierarchy

The proposed transaction may include:

  • the applicable Offer Schedule;
  • product-specific conditions in the Offer Schedule or another approved product-specific instrument, if any;
  • this Business Customer License and Terms of Sale;
  • the applicable Refund and Product Remedy Policy;
  • the applicable Privacy Policy; and
  • the applicable Website Terms.

Each applicable document or disclosure must be identified by version or effective date at checkout and retained with the order evidence. The Privacy Policy operates as a separate privacy notice rather than as a promise that expands the Product license. If product-specific conditions expressly conflict with these general terms, the product-specific condition applies only to that Product and only to the extent of the conflict; mandatory law controls where applicable.

External legal review status: The document relationship and conflict rule have not been reviewed by external counsel.

19. Provisions not included in this version

Lvl Haus has not added generic boilerplate for the following subjects. This version does not contain a negotiated or externally reviewed provision addressing them, and applicable law governs to the extent one of these subjects arises:

  • representations and warranties;
  • disclaimer of warranties;
  • limitation of liability;
  • indemnification;
  • dispute resolution;
  • arbitration or class-action waiver;
  • governing law and venue;
  • assignment;
  • force majeure;
  • notices;
  • waiver;
  • severability;
  • electronic contracting;
  • modifications to these terms;
  • complete agreement or integration;
  • final order of precedence; and
  • any required survival language.

Version control

Lvl Haus approved this version for use on October 15, 2026 without external legal review. Any later change must receive a new version identifier and effective date. The version presented at checkout must be retained with the applicable order and acceptance evidence.
